Business Terms & Conditions

These Terms & Conditions ("Terms") apply to all services provided by Beth Anne & Co. (operated by Elizabeth O'Brien-Gore, registered sole trader in the UK), hereinafter referred to as the "Studio," to clients engaging in brand, marketing, and strategy services. By entering into any agreement or booking a service, you ("Client") agree to the following terms.
1. Services & Engagement
Beth Anne & Co. provides fixed-scope projects and ongoing strategic and creative marketing services focused on brand strategy, positioning, messaging, commercial and growth strategy, and multi-channel content delivery. The exact scope and deliverables are defined in a separate agreement, proposal, or statement of work.
The Studio may include contributions from vetted third-party contractors, freelancers, or partner studios. Beth Anne & Co. remains the lead service provider, overseeing all delivery and client communication. While we take full responsibility for management, we are not liable for independent failures beyond our control.
The Client agrees not to directly solicit or hire any of the Studio’s subcontractors or team members for freelance or permanent work during the engagement and for 6 months thereafter without written consent.
Services are primarily delivered remotely via digital communication and collaboration tools. In-person work must be requested in advance and if agreed, the Client must cover travel, accommodation, and logistics. Availability is not guaranteed.
2. Communication, Meetings & Working Hours
Working hours are Monday to Friday, 9:00 AM – 5:00 PM CST. Communication occurs via Email and WhatsApp. Response times are typically within 24–48 business hours.
Check-ins and meetings will be scheduled as required, typically via Google Meet. Urgent or outside-hours communication must be agreed in advance.
3. Project Duration & Client Responsibilities
Project timelines are outlined in the proposal. Timely feedback, approvals, and content provision (within 3–5 business days) are required. Delays may affect delivery or incur fees.
If the Client is unresponsive for more than 20 consecutive days, the Studio reserves the right to pause or terminate the project. A restart fee may apply.
Clients agree to:
Provide required access and materials promptly
Respond to deliverables within the feedback window
Adhere to payment schedules
4. Revisions & Additional Work
Requests made outside the original scope or requiring additional team involvement will be reviewed and quoted separately. The Studio is not obligated to begin additional work until the scope and fees are agreed in writing.
Deliverables include up to 2 rounds of revisions unless stated otherwise. Feedback must be provided within 5 business days of delivery. After this, deliverables will be considered final.
Additional revisions, new requests, or out-of-scope work will be quoted separately or billed at the Studio's standard rate of $250/hour.
5. Intellectual Property & Ownership
Final deliverables are transferred to the Client upon full payment. All drafts, working files, and proprietary frameworks remain the intellectual property of Beth Anne & Co.
The Studio reserves the right to showcase and reference the Client’s brand, deliverables, or non-confidential project outcomes in its portfolio, case studies, and marketing materials. The Client may opt out of promotional usage by requesting this in writing prior to final delivery.
6. Data Storage & Security
The Studio will take reasonable steps to ensure data security, but shall not be liable for breaches of third-party platforms. Clients are responsible for complying with data protection regulations applicable to their business.
Client assets will be stored in a shared Google Drive or cloud workspace during the project. Client access remains for 6 months after completion, after which all files will be deleted, unless extended in writing. It is the Client’s responsibility to download and store all necessary materials and assets before the deletion date. The Studio will notify the Client in writing before deletion occurs and will not be responsible for file recovery after deletion.
7. Payment Terms
Invoices are due upon receipt unless otherwise agreed. Card payments via Stripe will incur a 1% processing fee. Bank transfers (ACH, BACS, etc.) are fee-free.
All payments are non-refundable once work begins. Late payments incur a 5% monthly fee after 10 days. Work begins only after receipt of the first payment.
Fees are quoted in USD, GBP, or EUR (depending on Client preference) and are exclusive of VAT.
8. Payment Disputes & Complaints
Payment disputes must be raised in writing within 7 days of receiving the invoice. Parties will make good-faith efforts to resolve. Mediation will be pursued before legal action.

9. Professional Advice & Client Accountability
The Studio provides qualified marketing and business strategy guidance based on professional expertise. Clients are responsible for implementing agreed strategies. The Studio cannot guarantee expected or predicted outcomes or results where strategies and recommendations were not followed.
10. Cancellations & Pauses
Agreements may be terminated by either party with 30 days' written notice. All work completed will be invoiced. Pause requests must be submitted in writing and may affect timelines.
11. Third-Party Tools & Partners
Beth Anne & Co. may use or recommend third-party tools and service providers. Clients accept that such tools are used at their own risk and agree to their respective terms of use.
12. Confidentiality
Both parties agree to keep confidential any sensitive, non-public, or proprietary information disclosed during the engagement. This clause survives termination.
13. Limitation of Liability
The Studio does not guarantee specific business results or outcomes (e.g., revenue growth or lead volume). Total liability is limited to the amount paid under the applicable agreement.
14. Force Majeure
Beth Anne & Co. shall not be liable for delays due to unforeseen events beyond our control (natural disasters, illness, outages, etc.).
15. Governing Law
These Terms are governed by the laws of England and Wales. Disputes will be resolved under the jurisdiction of the UK courts.
