Business Terms & Conditions

These Terms & Conditions (“Terms”) apply to all consulting services provided by Beth Anne & Co., operated by Elizabeth O'Brien-Gore (registered sole trader in the UK), hereinafter referred to as “Consultant,” to clients engaging in brand, marketing, and strategy services. By entering into any agreement or booking a service, you (“Client”) agree to the following terms.
1. Services & Engagement
Beth Anne & Co. provides fixed-scope strategic consulting services focused on brand positioning, messaging development, business alignment, and go-to-market strategy. The exact scope and deliverables are defined per project in a separate agreement, proposal, or statement of work.
Clients acknowledge and agree that services may include contributions from vetted third-party contractors, freelancers, or agencies, whose terms of business shall also apply where relevant. Beth Anne & Co. oversees their work but assumes no liability for third-party failures beyond reasonable control.
2. Communication & Working Hours
Working hours are Monday–Friday, 9:00 AM – 5:00 PM CST time.
Primary communication will be via WhatsApp, Email, and scheduled video calls on Google Meet.
Urgent questions may be addressed via WhatsApp, but responses are not guaranteed outside of working hours.
Consultant responds to messages within 24–48 business hours unless otherwise specified.
3. Project Duration & Client Responsibilities
Timelines vary by project and are estimated in the proposal.
Timely collaboration is required; Clients are expected to provide feedback, approvals, and required materials within 72 hours of request unless otherwise agreed.
Delays caused by the Client may extend project timelines or incur additional fees.
4. Payment Terms
Payment schedules are outlined in the proposal or invoice.
Invoices are due within 7 days of issue unless otherwise agreed.
Late Payment Fee: A fee of 5% per month will be added to overdue balances after 10 days.
Work will not commence (or be delivered) until the first payment is received.
All prices are in USD, EUR, or GBP (depending on the Client's preference) and exclusive of VAT (if applicable).
5. Cancellations & Pauses
Either party may cancel the agreement with 30 days' written notice.
In case of cancellation, the Client is responsible for payment of all completed work up to the notice date.
Work completed but not yet invoiced will be billed.
Requests to pause the project may be considered, but must be agreed in writing and may affect delivery timelines.
6. Intellectual Property
All original work created remains the property of Beth Anne & Co. until full payment is received.
Upon full payment, final deliverables will be transferred to the Client for unlimited commercial use.
Drafts, working files, and underlying strategy frameworks remain the intellectual property of Beth Anne & Co. and may not be reused or distributed without written consent.
Beth Anne & Co. reserves the right to showcase non-confidential project outcomes in its portfolio, case studies, website, and marketing materials unless otherwise agreed.
7. Revisions & Additional Work
Most fixed-scope projects include 1–2 rounds of revisions per deliverable (as specified in the proposal).
Additional rounds, change requests, or work outside the agreed scope will be quoted separately or charged at Beth Anne & Co.'s standard hourly rate ($250 per hour).
8. Third-Party Tools & Partners
Beth Anne & Co. may recommend or utilize third-party platforms, tools, or collaborators during the project. These may include developers, designers, writers, or agencies. The Consultant does not guarantee the outcomes or performance of third-party systems or suppliers and is not liable for their actions. The Client agrees to comply with any applicable terms of use from these providers.
9. Confidentiality
Both parties agree to maintain the confidentiality of any non-public, proprietary, or sensitive information disclosed during the engagement. This includes business strategies, financials, client data, and trade secrets. This clause shall survive the termination of the contract.
10. Limitation of Liability
Beth Anne & Co. makes no guarantees of specific business results (e.g., revenue increases or lead generation). The Consultant will not be liable for any indirect, incidental, or consequential damages. Total liability is limited to the amount paid by the Client under the relevant project agreement.
11. Force Majeure
Beth Anne & Co. shall not be held responsible for delays or failures caused by events beyond its reasonable control, including but not limited to natural disasters, illness, technical outages, or global events.
12. Governing Law
These Terms and all project agreements shall be governed by and interpreted in accordance with the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the UK courts.
